Welcome to equiReelz.com, a service provided by Paradigm Shift bv ("equiReelz", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the equiReelz website, mobile applications, and services (collectively, the "Service"). Please read these Terms carefully.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate information and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Users of all ages, including children, are welcome to use our Service subject to the following conditions:

  • If you are under 16 years old in the European Union (or the applicable age in your country), you must have your parent or legal guardian's permission to create an account and use the Service
  • Your parent or legal guardian will need to provide verifiable consent during the account registration process
  • Your parent or legal guardian will have the right to review and manage your account and the personal data we collect

4. Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from your subscription contract within fourteen (14) days of its conclusion, without giving any reason. To exercise this right, you must inform us of your decision by sending a clear statement (e.g., by email to info@equireelz.com).

If you withdraw, we will reimburse all payments received from you without undue delay and no later than fourteen days from the day we receive your withdrawal notice. We will use the same payment method you used for the original transaction.

Your right of withdrawal expires prematurely if you have expressly consented to the Service beginning before the withdrawal period has expired and have acknowledged that you thereby lose your right of withdrawal once the Service has been fully provided. By using the Service immediately after subscribing, you agree that performance begins before the withdrawal period expires.

5. Content and User Submissions

Our Service allows you to upload, store, and share videos and related information. You retain all rights to your content, but grant us a non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and distribute your content solely for the following purposes:

  • Sharing with individuals or groups that you specifically choose to share your content with through our platform settings
  • Making your content accessible to equiReelz staff, contractors, and service providers who are bound by confidentiality obligations and who need access to provide and improve the Service
  • Using your content, including video frames and metadata, to develop, train, and improve automated features such as content analysis, object recognition, and other service enhancements, provided such use does not publicly identify you or any individuals in the content

We will not distribute your content to other users or third parties without your explicit authorization through our sharing settings.

You represent and warrant that:

  • You own or have the necessary rights to your content and the right to grant the licenses described in these Terms.
  • Your content does not violate any third party's intellectual property rights, privacy rights, or other rights.
  • Your content complies with these Terms and all applicable laws and regulations.

6. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Upload content that is defamatory, obscene, or otherwise objectionable
  • Upload media containing people without their consent or individuals under the age of 18
  • Upload media containing violence or explicit themes
  • Upload media depicting animal abuse, cruelty, or neglect
  • Upload content for which you do not have all necessary rights, licenses, and permissions
  • Impersonate any person or entity or falsely state your affiliation
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to the Service or other user accounts
  • Use automated means to access the Service without our permission

Misuse of our service, including violations of these prohibitions regarding media uploads, may result in your account being suspended or banned without refund.

7. Content Removal

We reserve the right, but have no obligation, to review, screen, or remove any content uploaded to the Service at our sole discretion and without prior notice. We may remove content that we reasonably believe violates these Terms, applicable laws, or the rights of others, or that may expose equiReelz to liability.

8. Intellectual Property Rights

The Service and its contents, features, and functionality are owned by equiReelz and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our name, logo, or trademarks.

9. Third-Party Services and Infrastructure

The Service relies on third-party infrastructure and service providers, including cloud storage providers, authentication services, and payment processors. We are not responsible for the availability, performance, or actions of these third-party services. Any outage, data loss, or disruption caused by a third-party provider is not the responsibility of equiReelz, though we will make reasonable efforts to resolve such issues promptly.

The Service may also contain links to third-party websites or services. We are not responsible for the content or practices of any third-party websites or services linked to from our Service.

10. Termination

We may terminate or suspend your account and access to the Service if:

  • You materially breach these Terms
  • Your use of the Service violates any applicable laws or regulations
  • Your use of the Service poses a security risk to our platform or other users
  • Your use of the Service creates legal liability for us

If we terminate your account for violation of these Terms, we may do so immediately without prior notice.

If we terminate your account for reasons other than your violation of these Terms:

  • We will provide you with at least 30 days' notice before termination
  • You will have the opportunity to download your content during this notice period
  • You will receive a prorated refund for any unused portion of your subscription period

You may terminate your account at any time by following the procedures in your account settings. Upon account termination by you:

  • Your content will be deleted immediately
  • You will not receive a prorated refund for any unused portion of your subscription period

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee the availability, accuracy, or reliability of the Service or any content accessible through it.

12. Limitation of Liability

To the maximum extent permitted by law, equiReelz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount of fees paid by you to equiReelz during the twelve (12) months preceding the event giving rise to the claim, or one hundred euros (€100), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless equiReelz, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

14. Service Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

15. Force Majeure

equiReelz shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, acts of terrorism, power outages, failures of third-party service providers (such as cloud storage or infrastructure providers), government actions, or network or telecommunications failures.

16. Governing Law

These Terms shall be governed by the laws of Belgium, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the courts of Belgium.

17. Online Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR) for consumers. You can access it at https://ec.europa.eu/consumers/odr/. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but we are willing to engage in good faith to resolve disputes directly.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the intended purpose of the original provision.

equiReelz is committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. As a Belgian company, we comply with the stringent requirements of European data protection legislation.

Under the GDPR, you have the following rights:
